A picture to see the past eight years of mergers and acquisitions in the semiconductor industry

In 2017, the semiconductor industry saw a noticeable decline in major mergers and acquisitions compared to the previous years. While smaller deals continued to occur, large-scale transactions were rare. This marked a shift from the intense M&A activity observed in 2015 and 2016, when the sector experienced a surge in both small and large deals, with total transaction values reaching record highs. According to the latest report from ICInsight, even though 2017 witnessed a significant drop in M&A activity, the total value of deals still exceeded twice the average seen between 2010 and 2015. A total of 24 M&A transactions were completed in 2017, involving approximately $27.7 billion in assets, product lines, and business units. This was a sharp decrease from the $99.8 billion in 2016 and the record $107.3 billion in 2015. The annual average for M&A activity between 2010 and 2015 stood at around $12.6 billion. Two major deals accounted for 87% of the total transaction value in 2017. Without these two, the year would have been considered a weak one for M&A in the semiconductor space. The slowdown in deal-making reflected a cooling off after the frenzy of the prior two years. In 2015, as growth in key end markets like smartphones, PCs, and tablets slowed, many companies turned to acquiring chip businesses to offset declining growth and tap into emerging markets such as IoT, wearables, and advanced automotive electronics. The reduction in available targets and increased integration challenges contributed to the slower pace of M&A in 2017. Additionally, regulatory scrutiny from European, U.S., and Chinese authorities also played a role in delaying or blocking larger transactions. Compared to 2015 and 2016, 2017 had far fewer high-value deals. Only two transactions exceeded $1 billion: Toshiba’s sale of its semiconductor business for $18 billion and Marvell’s proposed $6 billion acquisition of Cavium. The average deal size in 2017 was $1.3 billion, but without the two large deals, it dropped to just $185 million. By contrast, in 2015, the average transaction value for 12 deals was $4.9 billion, and in 2016, for 29 deals, it was $3.4 billion. This trend highlights how the semiconductor M&A landscape shifted from a period of aggressive expansion to a more cautious and selective approach in 2017.
